1. Important Disclaimer — Read First

financialmodeling.app is an AI-assisted financial modelling and productivity tool. It is not an investment adviser, financial adviser, broker, dealer, bank, asset manager, portfolio manager, fiduciary, rating agency, research provider, accounting firm, tax adviser, legal adviser or regulated financial institution.

The Service does not provide investment advice, financial advice, trading advice, legal advice, tax advice, accounting advice, valuation opinions, credit ratings, fairness opinions, securities recommendations or any recommendation to buy, sell, hold, subscribe for or otherwise transact in any security, financial instrument, asset, business, token, currency or investment product.

All outputs are generated for informational, educational, analytical and modelling purposes only. You are solely responsible for independently verifying all assumptions, formulas, data, calculations, projections, valuations and conclusions before relying on them.

Do not make investment, financing, trading, accounting, tax, legal, business or strategic decisions based solely on the Service.

2. Eligibility

You may use the Service only if you are at least 18 years old and legally capable of entering into binding agreements.

The Service is intended primarily for users acting in a professional, business, research, analytical or educational capacity. If you use the Service as a consumer, mandatory consumer protection rights that cannot legally be excluded remain unaffected.

You must not use the Service if doing so would be unlawful in your jurisdiction.

3. Description of the Service

The Service may help users create, review, analyse, explain or improve financial models, including spreadsheets, forecasts, valuation models, scenario analyses, KPIs, formulas, summaries, chart explanations, business plans and related materials.

The Service may use artificial intelligence, automation, third-party models, third-party data sources and user-provided inputs. Outputs may vary, may be incomplete and may contain errors.

We may modify, suspend, discontinue or limit any part of the Service at any time, with or without notice.

4. No Financial Advice or Regulated Service

You acknowledge and agree that:

• We do not provide personalized investment advice.
• We do not assess the suitability or appropriateness of any investment for you.
• We do not consider your full financial situation, investment objectives, risk tolerance, tax position, legal position or personal circumstances.
• We do not recommend any security, asset, transaction, investment strategy, portfolio allocation or financing structure.
• We do not execute, arrange, intermediate, custody or settle transactions.
• We do not hold client money or client assets.
• We do not publish regulated investment research.
• We do not act as your fiduciary or agent.
• No user relationship with us creates an advisory, fiduciary, brokerage, asset management, accounting, tax, legal or professional-client relationship.

Any model, valuation, forecast, projection, benchmark, score, explanation or output generated by the Service is a tool-assisted analytical output only. It is not a recommendation, solicitation, offer, invitation, financial promotion or inducement to enter into any transaction.

5. No Offer or Solicitation

Nothing on the Service constitutes an offer, solicitation, invitation or recommendation to buy, sell, subscribe for, hold or dispose of any security, fund interest, derivative, token, currency, commodity, financial instrument, business interest or investment product.

The Service is not intended to be used as marketing material for any investment product unless you have independently ensured that the material complies with all applicable laws and regulations.

6. AI Output Disclaimer

The Service uses AI and automated systems. AI-generated content can be inaccurate, outdated, incomplete, misleading, biased or unsuitable for your specific purpose.

You acknowledge that:

• AI outputs may contain hallucinations or fabricated information.
• AI may misread uploaded files, tables, formulas, charts, assumptions or financial statements.
• AI may produce mathematically, financially, legally, tax-wise or commercially incorrect outputs.
• AI may fail to identify missing information, circular references, spreadsheet errors, accounting inconsistencies or valuation flaws.
• AI outputs are not guaranteed to be repeatable or consistent.
• AI outputs should be treated as draft analytical assistance only.

You must independently verify all outputs using qualified human review before relying on them.

7. User Responsibility

You are solely responsible for:

• The inputs, prompts, files, data and instructions you provide.
• Reviewing and validating all outputs.
• Determining whether outputs are suitable for your intended use.
• Ensuring compliance with applicable financial, securities, tax, accounting, data protection, confidentiality, employment, consumer protection and professional rules.
• Obtaining advice from qualified professionals where appropriate.
• Any decisions, actions, losses or consequences arising from your use of the Service.

You must not represent that outputs from the Service have been approved, verified, certified or endorsed by us.

8. No Reliance

You agree not to rely on the Service as the sole or primary basis for any decision, including decisions relating to:

• Mergers and acquisitions.
• Fundraising.
• Lending or credit.

• Tax structuring.

11. User Content

You may provide prompts, text, files, spreadsheets, formulas, financial statements, assumptions, datasets and other materials to the Service.

You retain ownership of your User Content. You grant us a worldwide, non-exclusive, royalty-free licence to host, process, transmit, display, reproduce and use your User Content as necessary to provide, maintain, secure, troubleshoot and improve the Service, subject to our Privacy Policy and applicable law.

You represent and warrant that you have all rights, permissions and legal bases necessary to upload and process your User Content through the Service.

12. Confidential and Sensitive Information

You should not upload or submit information that is confidential, highly sensitive, regulated or restricted unless you have the right to do so and you accept the associated risks.

You must not upload:

• Material non-public information.
• Insider information.
• Confidential client information without authorization.
• Personal data without a valid legal basis.
• Trade secrets unless you are authorized to process them.
• Data subject to banking secrecy, professional secrecy or contractual confidentiality unless permitted.
• Information whose processing through AI tools is prohibited by law, contract or internal policy.

We are not responsible for your decision to submit such information.

13. Output Ownership

Subject to your compliance with these Terms, you may use outputs generated by the Service for your lawful internal business, research, educational or analytical purposes.

However, you are solely responsible for verifying, editing and approving outputs before use. We do not represent that any output is unique, protectable, non-infringing, accurate or suitable for publication, client delivery, investor communication, regulatory submission or commercial use.

Other users may receive similar or identical outputs.

14. Professional Use and Client Deliverables

If you use the Service to support work for clients, investors, employers, counterparties, lenders, regulators or other third parties, you remain fully responsible for the final work product.

You must not state or imply that we reviewed, approved, audited, certified, endorsed or guaranteed your work product.

You must ensure that any client-facing, investor-facing or public-facing material complies with all applicable professional, regulatory, disclosure and advertising standards.

15. Prohibited Uses

You must not use the Service to:

• Provide regulated financial advice without required authorization.
• Make or distribute unlawful financial promotions.
• Generate misleading investment materials.
• Manipulate markets or prices.
• Facilitate insider trading.
• Produce fraudulent valuations, financial statements or investor materials.
• Misrepresent risk, performance or returns.
• Create fake financial data, fake filings or fake audit materials.
• Circumvent securities, banking, tax, accounting or consumer protection laws.
• Make automated trading decisions without independent controls.
• Make credit, insurance, employment or eligibility decisions where prohibited or regulated.
• Upload unlawful, infringing, defamatory, harmful or malicious content.
• Reverse engineer, scrape, overload, disrupt or attack the Service.
• Use the Service to develop a competing product in violation of our rights.
• Remove copyright notices, disclaimers or attribution.
• Use the Service in any way that could expose us to regulatory liability.

We may suspend or terminate access if we believe you have violated these Terms.

16. Accounts and Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

You must notify us immediately of any unauthorized access or security incident.

We are not liable for losses caused by unauthorized account access unless caused by our wilful misconduct or to the extent liability cannot be excluded by law.

17. Fees, Subscriptions and Payments

Certain features may require payment. Prices, billing periods, included features and limits are displayed at checkout or in your account.

Unless otherwise stated:

• Fees are charged in advance.
• Subscriptions renew automatically until cancelled.
• You authorize us or our payment processor to charge applicable fees and taxes.
• Fees are non-refundable except where required by law or expressly stated by us.
• We may change prices with reasonable notice.
• You are responsible for any taxes, duties or charges arising from your use of the Service.

If payment fails, we may suspend or terminate access.

We are not responsible for third-party services, data, outages, errors, terms, policies or actions. Your use of third-party services may be subject to separate terms.

22. Availability and Changes

We do not guarantee that the Service will be uninterrupted, secure, timely or error-free.

We may impose usage limits, maintenance windows, rate limits or access restrictions. We may modify, suspend or discontinue any feature at any time.

23. Privacy

Our processing of personal data is described in our Privacy Policy. By using the Service, you acknowledge that personal data may be processed in accordance with that policy.

You are responsible for ensuring that any personal data you submit has been collected and provided lawfully.

24. Disclaimer of Warranties

To the maximum extent permitted by law, the Service and all outputs are provided “as is” and “as available”, without warranties of any kind.

We expressly disclaim all warranties, whether express, implied, statutory or otherwise, including warranties of accuracy, completeness, reliability, merchantability, fitness for a particular purpose, title, non-infringement, availability, security, regulatory compliance and suitability for professional use.

We do not warrant that:

• The Service will meet your requirements.
• The Service will be uninterrupted, accurate, secure or error-free.
• Outputs will be correct, complete, current, reliable or suitable.
• Errors will be corrected.
• Data will be preserved or recoverable.
• The Service will comply with laws applicable to your specific use.
• Use of the Service will produce any financial, investment, tax, legal, business or commercial result.

25. Limitation of Liability

To the maximum extent permitted by law, we and our directors, officers, employees, contractors, affiliates, licensors and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, punitive or enhanced damages.

This includes, without limitation, loss of profits, loss of revenue, loss of business, loss of goodwill, loss of data, trading losses, investment losses, loss of opportunity, reputational harm, business interruption or cost of substitute services.

To the maximum extent permitted by law, our total aggregate liability for all claims arising out of or relating to the Service or these Terms is limited to the greater of:

• The amount you paid to us for the Service in the three months before the event giving rise to the claim; or
• CHF 100.

This limitation applies regardless of the legal theory, whether contract, tort, negligence, strict liability, statutory liability or otherwise, and even if we have been advised of the possibility of such damages.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

26. No Liability for Financial Losses

Without limiting the general limitation of liability, we are not liable for any losses arising from:

• Trading decisions.
• Financing decisions.
• Valuation errors.
• Forecasting errors.
• Spreadsheet or formula errors.
• Misinterpreted data.
• Incorrect AI outputs.
• Missed risks or opportunities.
• Regulatory, tax, accounting or legal consequences.
• Your publication, distribution or reliance on outputs.
• Decisions by your clients, investors, employers or counterparties.

You assume full responsibility for all such risks.

27. Indemnification

To the maximum extent permitted by law, you agree to indemnify, defend and hold harmless us and our directors, officers, employees, contractors, affiliates, licensors and service providers from and against any claims, damages, losses, liabilities, costs and expenses, including reasonable legal fees, arising from or relating to:

• Your use of the Service.
• Your User Content.
• Your reliance on or distribution of outputs.
• Your violation of these Terms.
• Your violation of applicable law or regulation.
• Your infringement of third-party rights.
• Your use of the Service to provide services to clients or third parties.
• Any financial, investment, business, legal, tax or accounting decision made by you or a third party based on your use of the Service.

28. Suspension and Termination

We may suspend or terminate your access immediately if:

• You breach these Terms.
• You fail to pay fees.
• Your use creates legal, regulatory, security or operational risk.
• We suspect fraud, abuse, unauthorized access or unlawful activity.
• We are required to do so by law or by a third-party provider.

You may stop using the Service at any time. Termination does not entitle you to a refund unless required by law.

Sections intended to survive termination will survive, including disclaimers, limitation of liability, indemnity, intellectual property, governing law and dispute resolution.

29. Export Controls and Sanctions

You must not use the Service in violation of export control, sanctions, anti-money laundering, anti-bribery or anti-corruption laws.

You represent that you are not located in, organized under the laws of, or ordinarily resident in a sanctioned jurisdiction, and that you are not subject to sanctions that prohibit your use of the Service.

30. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on the Service with a revised effective date.

Your continued use of the Service after changes become effective means you accept the updated Terms. If you do not agree, you must stop using the Service.

31. Governing Law and Jurisdiction

These Terms are governed by the laws of Switzerland, excluding conflict-of-law rules.

Subject to mandatory consumer protection rules and any non-waivable legal rights, the courts of Zurich, Switzerland, have exclusive jurisdiction over disputes arising from or relating to these Terms or the Service.

32. Severability

If any provision of these Terms is found invalid, illegal or unenforceable, the remaining provisions remain in full force. The invalid provision will be replaced or interpreted to best achieve its intended economic and legal effect.

33. Entire Agreement

These Terms, together with any referenced policies, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements or understandings.
